Terms of Service

MERAJ Limited, trading as Wiserlance ("WL") is a business registered in Ireland with the company number 740881. These are the Terms and Conditions we follow. They describe our methods and what we do.

You acknowledge that you have read, understood, and agree to be bound by these terms and conditions, as well as any applicable policies, by using our website.

WL runs a platform that connects Buyers (employers) with Freelancers (professionals), and vice versa.

Services

The services on WL are either offered as Services, which are fixed price services, or as custom projects, which can have a fixed price, a price per hour, or a price per item. On WL, services offered in this manner are collectively referred to as "Services/Jobs." The decision to propose and/or accept a project is totally up to the Buyer/Professional. This procedure is not under the control of WL. Professionals provide their services directly to Buyers, who set the deliverables, the cost, and all other conditions.

The Buyer deposits monies into the Stripe Connect at the start of a project, and the Buyer must formally discuss and state their needs via ChatPro. Professionals are required to complete their work within the delivery windows either specified in their Offer or, in the case of special projects, those previously agreed upon with the Buyer in the WorkSpace (Dedicated to completing work professionally and tracking progress). If a delivery is late, professionals' ranks will suffer.

Buyers consent to pay for the service given, and Professionals must complete their assignments. Users who cancel or get refunds without a valid reason will be penalized. If the Buyer is not initially pleased with the work done, professionals must provide at least two further revisions, and the Buyer must allow them the chance to do so.

The Professionals will submit a request for payment when the project is finished, including for the release of money held in the Stripe Connect. Professionals must not demand money before the job is finished. The 7 day payment requirements must be met by the buyers.

Monies

WL is not a BANK and only has money on hand to pay for professional services rendered and specified bills submitted by professionals. All users are strongly advised not to keep unused balances on the site. No user is allowed to have a dormant balance open for more than 30 days on the site. Up until they are withdrawn or become zero, WL maintains the right to impose admin fees or write downs on inactive amounts. A Financial Services Compensation Scheme or other government organization does not insure or provide coverage for funds held by WL on the platform. The money is kept by WL in a different customer account.

Remittances

WL serves as the Buyer's and Professionals' Agent of Payment. WL consents to release the Buyer from its duties related to debts owing to the Professional under this agreement in exchange for full payment of the project's invoice by the Buyer. Subject to our fraud and AML policies, WL agrees to provide the Professional access to such money. Following a clearing time, professionals are then permitted to withdraw those monies, provided they have established a proper withdrawal account. The authority to withhold payments to Professionals if fraud or money laundering is suspected is reserved by WL, which takes its responsibilities to combat these crimes seriously. Unless specifically authorized in writing for a particular payment or invoice, all payments for completed work must be made through WL. Attempts to pay outside of WL will result in penalties, including immediate account suspension. Any proposals from a buyer or professional to pay outside of WL must be reported right away to WL by the user.

Rights

Buyers are given full ownership of the supplied work after payment has been received, and Professionals are required to carry out the agreed-upon conditions and directions established between Buyer and Professional.

WL user profiles

Users must create an account, fill up all required information, and keep their account information updated in order to access the entire WL site. The method for creating an account is identical for both Buyers and Professionals. Users may conduct business as a sole trader, company, or any other type of legal entity, but each account must be a personal account.

Your access to WL can be restricted, blocked temporarily or indefinitely, your Jobs/projects can be stopped, other Buyers and Professionals can be warned of your actions or you can receive a warning if:

  1. We think that your conduct might put our users or us in danger or put you in legal jeopardy.
  2. Any information you supply to us cannot be independently verified or authenticated by us.
  3. you violate these terms and conditions or the mentioned policies in letter or deed.

Users are completely accountable for any conduct that takes place on their account, excluding circumstances when it is due to events beyond their control, e.g., such as a hacking incident or if their password is stolen despite taking reasonable precautions to keep it safe. Users must never log onto the Website using another person's account or registration details.

You certify that you are not prohibited or restricted economically by any nation's sanctions policies. If your situation changes and you end up on one of these lists, please stop using WL right away.

The details that Users include in their account's public profile must adhere to WL profile regulations.

Restriction: Users are only permitted to create one account.

As per UK AML regulation, PPH is unable to support users from North Korea, Iran, Syria, Sudan (Republic of Sudan or North Sudan), South Sudan (Republic of South Sudan) and Region of Crimea.

Jobs/projects completion

A- Bids/Offers

The Buyer's money will be kept in the Stripe Connect upon purchase of an Offer. In order for the Professional to start working, the Buyer will next need to submit their needs communicate clearly into the ChatPro, as stated on the job/project/ description page.

After the Buyer enters the requirements into the ChatPro, the Professional must:

  1. react in the ChatPro within one (1) working day to certify that the work has begun, failing which the Buyer may demand and shall be entitled to a refund in line with Section 6.
  2. regularly update the Buyer with progress reports via ChatPro, and reply to any messages from the Buyer within one (1) working day.
  3. complete the task/job/project within the delivery deadlines stated in task/job/project description, including handing over all deliverables. Failure to meet those deadlines could result in the Buyer requesting and being granted a refund in accordance with Section 6.
  4. The Professionals ranks on WL will suffer from late or non-delivery.

Note: To keep both parties safe in the event of a Dispute, all direct contact between the Buyer and Professional must happen through the ChatPro.

Following completion of the task/job/project, the Professional will submit a payment request and:

  1. After the Buyer gives the Professional feedback, the money in the Stripe Connect will be delivered to the Professional as payment.
  2. Alternatively, if the buyer is unhappy with the deliverables, they can reject the work and tell the professional exactly what needs to be done. The Professional must be given the opportunity to make adjustments as will be decided upon by the Buyer and the Professional, or at least two revisions of the deliverables based on the Buyer's detailed feedback.
  3. The monies kept in the Stripe Connect will be released on the buyer's behalf to the professional as payment after seven (7) days if the buyer performs neither of the following:
    1. provides feedback for the professional or
    2. rejects the payment request
  4. WL and the Professional shall be able to presume that the Buyer is happy with the project and has no disagreements of any type about the project if the money in the Stripe Connect are released to the Professional in line with items a) or c) above. The Buyer undertakes not to dispute any charges or attempt to have payments reversed through their bank, PayPal, or credit card company.

B- Specialised or Custom task/job/ Project (or “Project” collectively)

For specialised tasks, jobs, and projects, the professional's compensation is either agreed upon as a fixed fee, price per item, or as a per-hour rate task, job, or project:

  1. The Buyer agrees to pay the Professional for a per-hour rate custom task/job/project based on the time spent, not on the actual or perceived quality of any deliverables produced. The Professional shall, upon request by the Buyer, deliver to the Buyer a breakdown of the invoiced hours.
  2. The Buyer consents to pay the Professional based on deliverables for a fixed-price custom task/job/project. If the project will be broken down into milestones with corresponding milestone payments, the parties should make that decision up front in the ChatPro. The Custom project will only be billed upon final completion of all deliverables if milestones have not been agreed upon.
  3. For a Specialised or Custom task/job/ Project with a price per item, the Buyer consents to pay the Professional for all delivered items.

The agreed-upon deposit amount will be paid into the Stripe Connect by the Buyer upon acceptance of a proposal.

Then, in order for the Professional to begin working, the Buyer must provide all of their specific needs in the ChatPro. These specifications should include:

  1. Describe any subjective aspects of the project, such as aesthetics, providing examples
  2. timetable for the task/job/project's or milestones' completion
  3. breakdown of all required outputs

Following receipt of the Buyer's specifications, the Professional must

  1. To confirm the start of work, reply in the ChatPro within one working day. The buyer may seek and be granted the right to a refund in line with Section 6 if no response is received within one working day.
  2. offer frequent progress updates and reply to all Buyer messages via ChatPro within one working day.
    1. If failing to meet an earlier deadline is inevitable, the Professional must notify the Buyer right away in the ChatPro and offer a new delivery date.
    2. The buyer may seek termination of the custom project and be entitled to a return of any money in the escrow account if the seller frequently changes previously agreed deadlines or fails to complete the job within specified timeframes.
    3. The ranks of the Professional on WL will suffer if a job is delivered late or not at all.

Note: To keep both parties safe in the event of a Dispute, all direct contact between the Buyer and Professional must happen through the ChatPro.

When the specialised or Custom task/job/ Project is finished or a certain milestone has been met, the Professional will issue a request for payment.

  1. The payment request's fees should match what was expressly stipulated in the proposal. During a custom project, if the needs or scope vary significantly, the professional may need to suggest adjusting the pricing. Before any more work is done, this must be clearly agreed upon in the ChatPro so that the Buyer may affirm their desire to move on with the expanded scope at the higher expense.
  2. Within seven days of the payment request being made, the Buyer must make the required amount.
  3. Alternatively, the Buyer may refuse the payment request if he or she disagrees that the job is finished. Then, the Buyer must provide the Professional thorough comments in the ChatPro or on the delivered work on the task that is still unfinished. The deliverables must go through at least two revisions or as agreed between both parties based on specific input from the Buyer, and the Professional must be given the opportunity to do so.
  4. If the Buyer does not, within the seven-days period, either;
    1. make the required payment or
    2. reject the Payment request, WL will support the Professional in pursuing payment and may temporarily or permanently limit the Buyer's account.
  5. After fifteen days, if the invoice is still outstanding, the buyer will receive a last 24-hour notice. If the Buyer does not reply to this message within 24 hours, money in the Stripe Connect up to the amount of the outstanding payment request will be automatically handled and will be subject to WL's approval.
  6. If the Buyer pays the invoice or the funds are used as described in item (d) & (e) above, WL and the Professional may presume that the Buyer is happy with the project and has no outstanding issues with it. The Buyer undertakes not to dispute the transaction or attempt to have the money reversed through PayPal, their bank, or their credit card company.

C- Hourly Agreements

When setting up Per Hour agreements, the Professional's compensation is established as a per-hour rate project using the per-hour rate that is listed on their profile. The Professional will be paid by the Buyer based on the Professional's time spent, not on the actual or perceived quality of any deliverables given.

The Buyer shall submit a valid payment method on file upon acceptance of a Per Hour Proposal and upon hiring request and shall authorize WL to charge such payment method repeatedly in accordance with WL's Terms and Conditions.

According to the time spent on the project or as negotiated with the Buyer, the professional is responsible for submitting payment requests on their own.

After submitting a payment request:

  1. After submitting a payment request, the Buyer has three days to manually settle the payment request.
  2. The payment request will be automatically paid by the system charging one of the payment methods of the Buyer on file at any moment if it is not manually paid by the Buyer within three days.

Buyers' Protection

For work that was completed throughout the week's allotted number of hours and that was not obviously tied to either the project's needs or the buyer's instructions in the Workstream, WL will modify the payment request to the buyer, subject to and subject to the following conditions:

  1. Account of a Professional must be in good standing.
  2. Buyer must consent to automatically paying for hours billed by the Professional and must have a valid account in good standing with at least one authorised payment method.
  3. Within three days of receiving the payment request, the Buyer rejects it by pointing out the hours billed and explaining the details of the agreed and carried out work by the professional.

Professionals' Protection

In the unlikely event that a Buyer declines to pay for lawful services rendered by a professional, WL will offer the professional the following minimal payment protection. Only if all of the below mentioned requirements are satisfied will Per Hour Payment Protection be offered.

  1. Account of a Professional must be in good standing.
  2. Buyer must consent to automatically paying for hours billed by the Professional and must have a valid account in good standing with at least one authorised payment method.
  3. The total number of hours billed cannot be greater than the weekly maximum as stated in the Per Hour agreement.
  4. If the payment request is denied, the professional must submit a dispute within ten days, detailing the specifics of the service for which payment is due. If the payment request is not rejected and paid within ten days of the invoice being raised, the professional must get in touch with WL Customer Support and provide information about the job that has to be paid for.

D- work's quality

Each individual on WL is required to provide work of a high calibre that fully satisfies the requirements of their Buyer.

Professionals must specifically make sure that all deliverables/outputs are:

  1. properly satisfy each of the specifications set out by the Buyer
  2. are an entire set of deliverables that are specified in the offer description or that are agreed upon in the ChatPro as part of the specifications for custom projects.
  3. The buyer receives error-free work
  4. are of a calibre that is consistent with the degree of knowledge shown in the professional's profile and proposals for Offers and projects.

E- The substantial but crucial parts

The project's type—hourly, custom, milestone or fixed price—is decided by the buyer and the professional. They directly agree upon the "projects"' terms and conditions, including deliverables, any particular needs, and the fee.

Direct service agreements are made by the Buyer and Professional and are known as "the Service Contract" because WL is not a party to them.

Ownership of any materials and/or deliverables resulting from a project, as well as any associated intellectual property rights, shall be transferred to the Buyer upon successful payment to the Professional, unless otherwise specified in the Service Contract.

Buyer and Professional should negotiate and record any unique terms of the contract in the project or via ChatPro, if they choose to include them (for instance, in connection to ownership of the work done, ownership of intellectual property rights, or special termination rights).

The terms and conditions of each project shall be understood to include a clause that, in exchange for the project price paid, the Professional hereby assigns to the Buyer totally and with full title guarantee the following rights in every country in the world.

  1. the full copyright and any other copyright-related rights that may exist in the project.
  2. all additional rights to the project that the professional may have now or at any time after the project's start date under the laws in effect in Ireland and anywhere else in the world, regardless of their nature or when they may be discovered
  3. any database that is being used in the project

The right to bring, make, oppose, defend, appeal, and obtain relief (and to retain any damages recovered) in respect of any infringement or other cause of action arising from ownership, of any of these assigned rights, whether occurring before, on, or after the date of Commencement of the project. in each case for the entire term, including any renewals, reversions, revivals, and extensions; together with all related rights and powers arising or accrued.

You confirm that:

  1. You are not breaking any laws, rules, regulations, or commitments owed to anybody else
  2. If you're a buyer, you can pay for the services, and if you're a professional, you can provide the services
  3. You must not upload, download, post, submit, or otherwise facilitate the distribution of any Content, project, or proposal on or through the services offered by WL, including without limitation any User Content, that violates any patent, trademark, trade secret, copyright, or other right of another person or entity or otherwise contravenes any law or contractual obligation. You must also not allow any third party to do so
  4. All necessary legal and tax filings have been completed and will be made by you. If appropriate, you shall submit all paperwork needed by a governing body in connection with your self-employment, pay all due taxes, including without limitation PAYE or other income taxes and national insurance

    Classification of proposals

    Only the likelihood of an accepted Recommended proposal is forecasted by WL. WL is not responsible for the results if a refund is handled.

    Our data science team has developed machine learning algorithms that provide predictions about which proposals a buyer would most likely wish to accept using past data. As a result, we may classify ideas into distinct categories.

    1. Recommended proposals: The offers that a potential buyer will almost certainly want to accept
    2. Low Relevance proposals: The offers that a potential buyer is highly unlikely to wish to accept
    3. the remainder: the remaining suggestions. The proposals that are higher up in the list when using the default "Recommended" sort option are those that a buyer is more likely to wish to accept.

F- Remittances

When it comes to projects, the Professional cannot ask for the money to be released from the Stripe Connect before the project is finished since it would defeat the whole point of having the money held there—to provide the Professional the security they need to do the task. Buyers are required to report such incidents right away. The Professional's account may be suspended either temporarily or permanently in such circumstances.

Payments are given in accordance with Section 3 for a project that the Buyer has deemed to be satisfactorily finished. Except for Per Hour Agreements, which include a three-day grace period, payment terms are seven days.

For work procured on WL as well as any follow-up work performed by the Buyer and Professional, whether for the same project or a different project, all payments between the Buyer and Professional must be conducted through WL in accordance with Section 3's instructions. If a Professional plans to initiate proceedings or pursue legal action against the Buyer, the Professional may get express writing approval from WL to allow payment by alternate ways for a specific invoice or payment.

Unless prior explicit written authorisation from WL has been obtained, payment (or attempt to pay) outside of WL is a violation of these terms and conditions. Such payment (or attempt to pay) will result in the account for the Buyer and/or Professional being temporarily and/or permanently suspended. Any business losses and legal costs WL may incur to recover it will be the Professional's responsibility.

The Professional's account money may be frosen by WL in order to recoup unpaid fees. Additionally, WL will not mediate any Disputes or be responsible for the loss of business suffered by the Buyer or Professional as a result of a breach of this paragraph. Users must immediately notify WL of any attempts or proposals by their Buyer or Professional to make payment outside of WL.

Before any money are transferred to the Professional, WL regularly examines payments made by Buyers in an effort to avoid fraud. Once a fourteen-day clearance period, which begins after the Buyer has authorized the payment request, funds are only made accessible for withdrawal.

Professionals may withdraw money after a seven-day safety clearance period following the Buyer's approval of the invoice if their total invoices paid in the previous two (2) calendar months ("Recent Income") ranged between €2,000 and €6,000 (or equivalent if converted). After a three-day safety clearance period following the Buyer's approval of the invoice, Freelancers with a Recent Income of more than €6,000 (or comparable if converted) are permitted to withdraw money.

A Professional must submit a withdrawal request on an approved withdrawal account in order to withdraw money from their WL user account. A withdrawal account with permission may either:

  1. an account with a bank with the user's name as it appears on his profile
  2. an account with Stripe, Wise Transfer, PayPal or Payoneer using the user's profile's registered name and email address
  3. a verified email address and a Stripe, Wise Transfer, PayPal or Payoneer account with the same name as what is listed on the user's profile.

Daily payments are processed by WL, who will then transmit the money to the Professional according to their preferred payment method. Payments processed by WL are then subject to the banks clearing system's time constraints (BACS in the Ireland).

WL retains the right to ask buyers and professionals for additional information, such as original documents, and to check documents with issuing organizations for security reasons. Therefore, we reserve the right to need the identification documents listed below:

  1. a copy of a recent utility bill with your name and address (less than 3 months old)
  2. a copy of an ID card issued by the government (such as a passport, driver's license, or national ID card)
  3. a verified email address and a Stripe, Wise Transfer, PayPal or Payoneer account with the same name as what is listed on the user's profile.

    PayPal customers:

    Statement from your PayPal account displaying the name, email address, and status of your verification along with any relevant transactions.

    Credit/debit card users (one of the following):

    1. Bank of Credit or Debit Cards Statement for the credit card used on your WL User account (less than 3 months old). The card number's first 8 digits must be left blank for security compliance
    2. an exact replica of the card's front and back. The last three numbers from the number on the back of the card, as well as the card's middle eight digits, should be left blank for security compliance

International bank transfers may experience delays in credit to the beneficiary due to things like local bank holidays, delays by an intermediary bank, or other local circumstances. Please be aware that some nations have been labelled as "slow-to-pay" nations, and transfers to those nations could delay the crediting of the recipient account by several days or even weeks. Please see the full list of nations that are slow to pay.

WL act on behalf of the User when utilizing the Escrow Account, subject to these terms and restrictions. The money is kept by WL in a different client account. WL is not a BANK and solely has money on hand to pay for professionals' specific payment requests as well as to settle the provision of services.

All users are strongly advised not to keep any balances on the platform. A Financial Services Compensation Scheme or other government organisation does not insure or provide coverage for funds held by WL on the platform. Users' Stripe Connect or WL User Account balances will not accrue interest or other revenues. WL will make every effort to ensure that the monies in the Stripe Connect or WL User Account are available to the User in line with these Terms and Conditions, but we cannot promise that they will be in unforeseeable or out of our control situations.

The Professional's WL User Account (and if insufficient funds are in the Professional's Account, the credit card or other previously made payment method, if available) will be used by WL to recover any amounts that must be returned to the Professional because the Buyer (contrary to these Terms and Conditions) filed a dispute or requested a payment be reversed through its credit card provider, bank, or Paypal.

The Professional commits to pay WL any unpaid balances within 48 hours of WL's request if WL is unable to fully collect the cash returned to the Buyer from the Professional.

In order to prevent funds from being held in the Stripe Connect indefinitely, WL will inform the Professional if funds are being held in a Stripe Connect for a project that:

  1. has neither an open Dispute nor an unpaid payment request; and
  2. has not had any activity in the Workspace/ChatPro for at least one calendar month. Activity is defined as any activity taken by the Buyer or Professional in the Workspace/ChatPro, such as posting a message, requesting payment, making a deposit into the Stripe Connact, or requesting a refund.

  1. The cash stored in the Escrow Account will automatically be reimbursed back to the Buyer's WL User Account if the Professional does not take any action within seven days, at which point it will be assumed that the project was not delivered by the Professional. The Professional's ranks will be impacted in this situation in line with the conditions in Section 6.
  2. The Professional will be required to certify one of the following:
    1. that the project is still in progress by posting a message to the Buyer in the ChatPro with an update on progress
    2. that the project is finished by submitting a payment request in accordance with the conditions outlined in Section 3 or
    3. that the project was cancelled and the Buyer received a refund in accordance with the conditions outlined in Section 6.

WL processes payments made by Buyers and transfers money to Professional using third-party service providers Stripe, Wise Transfer, PayPal and Payoneer. These third-party payment service companies are governed and permitted to offer payment services in the nations in which they do business. When it's essential to handle payments, WL may divulge your personal or transactional information to third-party payment service providers.

G- Submitting Feedback

Both parties are required to give each other both qualitative comments and a rating of 1–5 after the job is finished and the Professional has been paid by the Buyer or Contract in ended . The ranking of each User on WL is influenced by this rating. Users must also provide their feedback in order to read reviews that have already been submitted. In the first 60 days following payment request payment (funds released / amount paid), a review (feedback) is published on the member profile page when both parties (Buyer and Professional) submit their input. Users who haven't left any reviews in the past 60 days will no longer be allowed to do so because all submitted reviews are made public after that point. The input should be given sincerely by both sides.

Users are not allowed to offer incentives in exchange for input, manipulate or coerce another User by threatening bad feedback. Any such attempts must be immediately reported to WL.

Feedback remarks that have been reported to us as abusive, defamatory, or objectionable will be examined, and we have the right to remove them if necessary.

H- Payment cancellations and refunds

  1. Task/Job/Project cancellation
    The buyer may ask for a cancellation once a project has started.
    The Buyer may notify WL of the cancellation by using the "Request Return" action on the Workspace if there are funds in the Stripe Connect and the Buyer feels they are entitled to a refund.
  2. Refund policy
    In the following situations, a Buyer is qualified to receive a return of money held in the Stripe Connect:
    1. Poor quality: the exception being the hourly rate Custom projects, the Professional's deliverables do not adhere to the conditions outlined in Section 3.2.
    2. No response: After the project's start, the Professional did not respond to the Workspce/ChatPro within one working day
    3. Non delivery:
      1. When it comes to Offers, the Professional did not complete the scope of work by the delivery dates specified in the Offer.
      2. or fixed-price or item-based pricing Custom projects that were not completed on time are referred to as non-delivery projects.
      3. for hourly rate Custom projects have not required any time.
    4. Refunds for reasons other than those listed in the preceding clause may be mutually agreed upon by the Buyer and the Professional; nevertheless, the authorisation of such refunds will be subject to review by WL, as described in Section 6.2.1.

      Funds maintained in the Stripe Connect are the only ones that can be refunded. According to Section 3, money shouldn't leave the escrow account until the buyer is happy that the project (or any agreed-upon milestone deliverables) is finished. By withdrawing money from the Stripe Connect, the buyer agrees that it cannot be refunded.

      The buyer must refrain from disputing the purchase or cancelling the transaction through PayPal, their bank, or their credit card company. The Buyer's account will be immediately suspended if they attempt to request a refund in this manner.

  3. Refund request

    Using the "Request Return" action in the Workspace and providing a justification for their request, a Buyer may ask for a refund of the money held in the Stripe Connect.

    To make sure that both parties have cooperated with these terms and conditions and that the goal of the refund is not to escape any of the parties' duties under these terms and conditions, WL will handle refund requests subject to an assessment of the refund reason and circumstances. WL shall not be obligated to issue the reimbursement if WL has a reasonable suspicion that the parties have disregarded these terms and conditions or are attempting to get out of any such obligations.

  4. Penalty for cancellation and refunds

    Users are strongly discouraged from initiating refunds and cancellations. Refunds will have the following effects on users' position in the WL market:

    1. If the Buyer is discovered to have been the reason for the refund (for instance, an early cancellation brought on by a change in their business needs), it will have a negative effect on their Buyer status
    2. If the Professionals are at fault for the refund (for instance, because they didn't respond, produced substandard work, or discontinued the project), it will harm their professional standing and rankings.
    3. Depending on the severity, numerous refunds attributable to a User may result in temporary and/or permanent limitations on their account.

I- Disputes

WL encourages any disagreements between our Professionals and Buyers to be settled by discussion. WL Customer Services can offer dispute resolution, nevertheless, if that is not possible.

A dispute may be brought up manually by the Professional following a Buyer's rejection of a requested payment. The Professional shall pay a non-refundable charge in accordance with section 8.2 in order to file a dispute. In particular, the lesser of the Stripe Connect or invoice amount is used to settle disputes involving payment requests.

In order to mediate and attempt to resolve the Dispute, WL may contact both parties if the amount in dispute is €130 (or £130) or above.

Within seven days, WL will attempt to decide on a resolution on behalf of both parties. The disagreement will either be dropped or settled in accordance with the mutual agreement if both parties on the workstream have already reached a mutual resolution.

If a resolution decision needs to be made, WL will only use the communication in the ChatPro as evidence and will take the following factors into account:

  1. if the dispute relates to a milestone payment and the project was completed or the milestone was fulfilled, in line with the conditions of Section 3
  2. if both parties have made at least one more attempt to complete or correct the project between them and are working in good faith and have attempted to address the issue before contacting us
  3. both the Buyer and the Professional abide by these terms and conditions
  4. WL shall notify both parties within fourteen days of the Dispute if it becomes necessary for it to make a resolution decision on behalf of the parties. The disputed money must be handled in line with this settlement judgment and its stipulations. Once a settlement to the dispute has been communicated, our participation with it is over
  5. WL will consider whether the Professional has met general quality standards as described in Section 3.3 for Disputes involving the calibre of the work delivered; judgments on quality that are:
    1. based on personal preference or
    2. necessitate specialized technical or subject-matter knowledge will not be taken into consideration

Users acknowledge and agree that WL will act in accordance with the resolution decision of any Dispute in good faith, and that they will not bring any claims against WL (whether in agreement, negligent misrepresentation, or otherwise) in relation to the resolution decision or any such actions or payments

made in accordance with it. Users further acknowledge and agree that they have no right to hold WL accountable for a Buyer's or Professional's claimed conduct or inactions.

J- Wiserlance Fees

  1. Buyer fees
    Buyer costs are for using WL as an intermediate platform only; they do not represent the results of any professional engagement and will not be reimbursed.

    At WL, we provide customers a lot of freedom by letting them sign up for membership plans that include lower job posting fees and other benefits. The buyer will only be able to post a certain number of jobs for free if they choose not to sign up for a membership plan. If they run out of free job posts, they will have the option to purchase job packages that best suit their requirements

    The assigned dashboard allows a buyer to carry out these actions.

    We have the right to sometimes modify our service pricing. Updated terms that we release will take these changes into account and be applicable to any transactions that occur after the revised fees take effect.

  2. Professional Fees
    Professionals joining the WL platform have the option of choosing the membership Plan structure they want to use, and WL has the right to charge them a Service Fee in line with that choice.

    Professionals are given a free monthly bid if they choose not to sign up on a membership package. But if a Professional runs out of free bids, they may purchase more bids from the individual dashboard by clicking Buy Bids.

    A withdrawal fee is charged by WL when a Professional withdraws money from their WL User Account. The withdrawal cost is calculated as follows:

Dispute Charges:
Professional must pay a non-refundable cost equal to 10% of the invoice or refund amount, with a minimum fee of £ 5 (or € 7 or $ 8), in order to submit a dispute as per section 7.

Investigation charge for a bank transfer:
Please take note that a formal investigation with the bank can be started to ascertain the cause of any payment delays from the financial institution. This process requires the customer to pay a 25 GBP fee, which must be applied before it can begin.

K- Account administration charge for inactive Users

WL is not a BANK and only has money on hand to pay for professional services rendered and specified bills submitted by professionals. All users are strongly advised not to keep unused balances on the platform. No user is allowed to keep a dormant balance open for longer than 30 days on the site.

For the purpose of holding a User's inactive funds on their behalf, WL reserves the right to charge a monthly administrative fee of [£6.70/€9.33/$9.95] (excl. VAT) if a User has retained dormant monies in their WL User Account for a period of sixty (60) days or more. Starting on the sixty-first (61st) day of the calendar month, this fee will be automatically deducted each month from the funds in the user's WL user account.

This fee will no longer be collected when either:

  1. The money held isn't more than 60 days old
  2. The balance has been paid

L- Exchange of currencies

If you need to do a currency conversion on the WL website, the transaction will be completed at a regularly updated official institution-determined foreign exchange rate. Changes in exchange rates are not within WL's control. Each time WL converts a currency, a 2.5% Currency Conversion Fee will be charged. Before you proceed with authorizing the payment transaction, you will be shown the exchange rate that will be used on the transaction when WL has the ability to convert currencies. You consent to the terms of the exchange rate and currency conversion by approving this transaction.

M- Vouchers

Voucher may be given to users in exchange for a fixed or percentage discount on services bought through WL. WL reserve the right to modify or terminate the Vouchers at any time.

N- General website usage terms

The WL website usage rules outline how users who have registered with WL may use it. Please read them attentively as they include the substantial but significant information.

O- Privacy Policy

By continuing to use the WL service, Users agree that WL may treat their personal information (including sensitive information) in line with the WL Privacy Policy and the provisions of the EU General Data Protection Regulation 2016/679. Any Service Contract between the Buyer and the Professional does not involve WL. Any Service Contract between a Buyer and Professional must follow both the rules of the EU General Data Protection Regulation 2016/679 and the privacy policy of that Professional.

Your personal information might be used by WL to solicit comments from you regarding any interactions you may have had with our platform. By collecting important data from our end consumers, this promotes the expansion of our business.

P- Governmental Law
The law of Ireland shall govern the interpretation and application of these terms and conditions, as well as any controversy or claim arising out of or related to them, its subject matter or formation (including non-contractual disputes or claims). Any dispute or claim arising out of or related to these terms and conditions, its subject matter, or their creation will be subject to non-exclusive jurisdiction of the courts of Ireland (including non-contractual disputes or claims).

  1. Buyer: refers to a buyer who purchases services from a Professional on WL.
  2. Professional: refers a person who uses WL to sell services to a Buyer.
  3. Commencement of the project: signifies that the Buyer has either purchased a service or has accepted a proposal for a unique task/job or a project on WL.
  4. Content: includes information created, given, or otherwise made available on or via WL, including data, text, images, videos, audio clips, written posts and comments, graphics, and user content.
  5. Custom Task/job/project (collectively “project”): is a project that begins with the acceptance of a Bid/proposal by a buyer or the approval of a professional's request to be hired. The agreement for this job is made either when the Buyer posts a request on WL or by direct conversation between a Buyer and a Professional in the ChatPro. In addition, a custom project might be agreed upon as additional work following a service purchase.
  6. Service: signifies a pre-packaged service provided by a Professional on WL for a certain cost and delivered in a set amount of time.
  7. Per Hour Contract: is a job that begins with a Buyer putting a legitimate payment method on record that WL may use again and the Buyer accepting a Per Hour Proposal or the Professional accepting a Hire request.
  8. Payment request (invoice): indicates a bill submitted by a professional in the Workspace or the WL payments dashboard for a finished project.
  9. Bid/Proposal: signifies a Professional's offer to a Buyer to do a particular task/job/project, which must include a fee quotation.
  10. User: refers to any user of WL who is registered.
  11. User Content: includes any and all Content that Users upload, publish, distribute, or post to the services, including without limitation, proposals and correspondence sent through the ChatPro. User Content does not contain any project-related documents, deliverables, or intellectual property because those items belong to the buyer and are transferred upon successful project payment. The individual who created the user content is entirely responsible for it.
  12. WL: signifies Wiserlance Limited or the website with the domain name www.wiserlance.com, as appropriate in the context.
  13. WL User Account: refers to a User's WL identity, profile, settings, activities, bills, transactions, and monies balance that are accessible for withdrawal.
  14. Stripe Connect: refers to the virtual account where funds are put at project start-up and released only in compliance with these terms and conditions.
  15. Dispute: refers to a disagreement brought up in connection with a rejected payment request (Invoice) or brought up by the buyer/seller when they are unhappy.
  16. ChatPro: is the location where all private conversation between the Buyer and the Professional takes place. The parties can communicate with each other, send proposals, share invoice and any other Service/Job or project related matters ChatPro.

All correspondence between the Buyer and the Professional takes place within the ChatPro. The parties can communicate via the ChatPro to share data, including file attachments, discuss the bid/proposal, process, etc. Buyers and Professionals are expected to abide by a few policies when utilizing the ChatPro.

These rules are a part of our terms and conditions. As a result, measures beyond warnings and account bans may result from violations of these policies.

Prohibited activities in ChatPro
  1. Maintaining communication via ChatPro on WL is mandatory.
  2. Do not share personal phone numbers or email addresses via ChatPro on WL.
Instruction
  1. In the event that a Bid/Proposal is accepted or a professional is hired on hourly basis, make sure that all direct contact occurs through the ChatPro. On WL, you should be able to discover all the resources you require to collaborate, including the ability to share files right in the ChatPro. To protect oneself in the event of a dispute, publish any important agreements back on the ChatPro if it becomes necessary to interact outside of it while a Job is ongoing.
Restriction
  1. Make any offers to pay outside of WL or accept any offers that are made. Sanctions, including immediate account suspension, will result from attempts to pay outside of WL. Please inform our Customer Support staff of any efforts made by your Professional or Buyer to make a payment outside of WL.
  2. Prior to a proposal being approved, make an effort to exchange contact information with another buyer or professional, or consider hiring a professional on an hourly basis. This includes pointing another Buyer or Professional to the website for your business or to your online profile. The ChatPro should be used for all discussions on requirements and agreements to begin jobs. Don't forget that you may send files simply in the ChatPro, or if you're a professional and want to show off some of your work, you can direct the Buyer to your portfolio on your WL profile.
  3. Contact WL users to advertise your business or a third-party website, or to recruit them for a job.
  4. Post any material that violates our website's conditions of use, including information that is offensive or abusive.

There are only a few rules that buyers must follow while advertising a project. These regulations are intended to guarantee that the Wiserlance market functions successfully for all parties. These guidelines are incorporated into our terms and conditions. Projects that violate these guidelines will be deleted, and we'll always get in touch with you to let you know why so that any necessary adjustments may be made.

Prohibited jobs/projects

On WL, projects of any sort can be posted. Just a few items are prohibited, including:

  1. work performed for no remuneration, a profit or revenue split, a commission-only arrangement, or as payment for goods or services. Every project should have a pricing that is either a set fee or a service rate.
  2. requests to carry out an action, such as posting listings on other websites, with the intention of getting around the account processes or regulations of other websites
  3. service through joint ventures, partnerships, franchises, or permanent employment. Only freelancing services are available on WL
  4. spam, requests for services that are unlawful, fraudulent listings, and listings that are just placed to advertise another company or website
  5. Requests for fake social media likes, followers, or reviews of products or businesses are carefully evaluated at our discretion to determine whether the buyer requested fake deliverables
  6. requests to complete school, college, or university assignments.
Instruction
  1. Set a reasonable budget for the project in order to draw in qualified professionals. Look at comparable tasks and projects if you're unsure of what could be possible
  2. Be as detailed as possible when describing the job/project, the kind of deliverables you anticipate, and any deadlines or timeframes you may have. You will be more effective in recruiting the Best Professionals for the job and receiving reasonable quotes if you are more precise about what you want.
Restriction
  1. Direct professionals to a different page for all job/project details. The job/project description should include all the details a professional would require to submit you a Bid/Proposal
  2. In any part of the project description or title, provide your full name or contact information. This restriction is in place primarily to safeguard you; thus, we advise against posting your contact information on any public websites
  3. As part of the bid/proposal process, request samples to be sent in. This is done in order to safeguard our professionals from potential abuse. You may look at a professional's portfolio for examples of their work to get a sense of what they do, or you can buy one of their services to test them out for a little money

Professionals are expected to abide by a few rules while posting a service. These regulations are intended to guarantee that the market functions well for all parties. Services that violate these guidelines will be terminated, and we'll get in touch with the Professional to let them know why so that improvements may be made.

  2. be as detailed as you can about the service you are providing and what the Buyer will receive specifically if they choose to use your service to avoid any surprises. Clearly mention what is not included as well
  3. include high-quality pictures or perhaps videos that are pertinent to the services you are providing. Images that are of extremely low quality, are offensive, or are wholly unrelated will not help you sell your services and may cause your Services to be suspended or even deleted.
  4. a reasonable delivery deadline that you can fulfil should be specified. Unhappy customers and worse rankings will result from late deliveries.
Restriction
  1. include your company name, complete name, and/or contact information somewhere in the title or description of the Services. We strongly advise against posting your contact information on any public website since this regulation is in place primarily to protect you.
  2. send customers to another page so they may find out more about the service being offered. The description should contain all the details a Buyer would need to know before deciding to use your service.
  3. if you offer the same service, include it more than once, even if there is just a minor difference in the service provided or the unit of time. For instance, if I can write a 1500-words essay in three hours, I can write three 1500-words pieces in nine hours. Multiple quantities of your Service may be purchased by buyers.
  4. Decide on a fee that is based on the hour or the item. Services come with set pricing contracts. The price should represent the full sum that the buyer would pay for the provision of the requested service (including of any VAT- if any). If the buyer understands that the time-based package is what they are paying for, it makes sense for the nature of the service to make it time-based rather than outcome-based, and the buyer will get a useful service if they purchase just one Service, such as "I can be your web-based assistant for 4 hours," then you are allowed to offer it.
  5. submit any anything that violates our terms and conditions, such as information that is abusive, offensive, defamatory, or infringing on the rights of others.
Escrow Setup

To ensure your payment is protected, we use a secured escrow service. Your funds will be held safely and only released to the freelancer once you approve the completed work.

Your profile serves as your professional "store front," thus it is advised that you take the time to promote your qualifications and talents by including as much information as you can. We have a few policies that Professionals are expected to follow while constructing their profiles. These rules are a part of our Terms & Conditions.

Prohibited profiles

On WL, all profiles are permitted with the exception of those that promote the following services:

  1. listings that have been posted only for the goal of endorsing another company, website, or third-party service are considered spam.
  2. Post listings on other websites in an effort to go around the account procedures or regulations of other websites.
  3. Followings/likes/reviews/indications on social media or the business/product were all artificial and deemed by us carefully that the professional was indeed delivering artificial results.
  4. school, college, or university work.
  5. false advertisements or offers for any unlawful services.
Instruction
  1. Include a high-quality photograph or image of you or a beautiful setting as your profile cover. Limit your text to the length of a tagline to avoid using excessive amounts of text. If your work is visual, you can provide a graphic representation of it or a section of your actual portfolio.
  2. As your profile picture, upload a professional portrait of yourself. Although you can opt to use your company logo in its place (provided that your company profile has been validated with the necessary documentation), we highly advise against it. The WL marketplace is built on trust, and it has been demonstrated that using personal images instead of logos has a major impact on success.
  3. Ensure that all of the details in your profile are a true and accurate portrayal of yourself. Including your name, where you are, a list of your qualifications and certifications.
Restriction
  1. Any content that violates our terms and conditions, including the blatantly apparent items like abusive, offensive, defamatory, or infringing information, should not be uploaded to your profile.
  2. Include any connections to your website or any other third-party websites throughout your profile, including in your profile photograph and portfolio photos.
  3. In the profile description, cover image, portfolio items, or any other element of your profile, provide your complete name or contact information. This regulation is primarily in place to protect you; thus, we strongly advise against posting your contact information on any public website.
  4. Create several user accounts on WL. We'll close accounts that are duplicates.
  5. Share your bank account information and any other withdrawal options. Such behaviour is prohibited by our Terms and Conditions of Website Use and results in account suspension for good.

Use of WL website

In its sole discretion, WL may suspend or terminate any user's access to the website, delete or deactivate their account, forfeit or withhold funds if we have reason to suspect that the user's interactions with WL involve fraud, wrongdoing, or are connected to money laundering. This does not limit WL's ability to pursue alternative remedies. The users understand that any payments made may be subject to forfeiture or may be frosen by WL if the users' usage of the website violates any local or federal laws pertaining to fraud or money laundering. To the fullest extent permitted by law, WL shall not be liable to that user for any such payments, nor shall it have any liability to any user in the event that WL is required to provide information or documentation pertaining to that user to any applicable regulatory authority in such circumstances.

  1. In the case that the user commits fraud or money laundering, WL shall have the right, to the fullest extent permissible by law, to withhold and forfeit funds in the user's accounts. "Wrongdoings" and/or "fraud" shall include, but not be limited to, efforts to violate these terms and conditions, hacking, unauthorized use of account access information, accounts, or accounts of third parties, and attempts to violate or bypass any security features of the website or False personal information, fund transfers in any actions and/or omissions that the company reasonably deems to be fraudulent and/or wrongdoings, the wrongfully, deliberately, or knowingly transfer funds from a third party's account or funds that are not lawfully owned through the use of the WL website or its services.
